Background

PT Asuransi Jiwa Inhealth Indonesia (Inhealth) has started a business trip in the field of commercial health insurance program provider as a business unit of PT Askes (Persero) since 1992. At that time, we organized a commercial health insurance program with managed care system for private companies, BUMN , and governmental institutions. In line with PT Askes (Persero) transformation into the Social Security Administering Agency (BPJS) of Health, Mandiri Inhealth was acquired by PT Bank Mandiri (Persero) Tbk, PT Kimia Farma (Persero) Tbk and and PT Bahana Pembinaan Usaha Indonesia or Indonesia Financial Group (IFG). by obtaining a business license in the field of Life Insurance Based on a letter from the Minister of Finance Number KEP-38 / KM.10 / 2009. The acquisition also provides access to a broader corporate market and the ability to expand the healthcare provider's infrastructure to support managed care schemes.

Mandiri Inhealth Through the Years

1992

PT Asuransi Jiwa Inhealth Indonesia started its journey as a commercial health insurance programs as a business unit of PT Askes (Persero).

2008

PT Asuransi Jiwa Inhealth Indonesia was ofcially established as a legal entity by its founders, PT Askes (Persero) and Koperasi Bhakti PT Askes (Persero).

2014

Ownership of PT Asuransi Jiwa Inhealth Indonesia was transferred to an SOE consortium in the frst acquisition phase consisting of PT Bank Mandiri (Persero), Tbk. (60%), BPJS Kesehatan (20%), PT Kimia Farma Tbk. (10%) and PT Asuransi Jasa Indonesia (Persero) (10%). This is an important milestone for the company in terms of fnance, expertise, marketing, and distribution.

2015

Bank Mandiri executed the second acquisition phase and distributed the Company’s shares to PT Bank Mandiri (Persero), Tbk. (80%), PT Kimia Farma Tbk. (10%), and PT Asuransi Jasa Indonesia (Persero) Tbk. (10%).

2022

As of June 16, 2022, a conditional share sale and purchase process has occurred which has resulted in changes to the composition of Mandiri Inhealth's shareholdings, which became Bank Mandiri, which retains 80% ownership, Kimia Farma retains 10% and PT Bahana Pembinaan Usaha Indonesia or Indonesia Financial Group (IFG). now owns 10% Shares.

On July 31, 2022 Mandiri Inhealth collaborated with PT Mandiri Capital Indonesia (MCI) and also PT Metra Digital Investama (MDI Ventures) by jointly establishing the company PT FitAja Digital Nusantara (FDN) which will act as the manager of SuperApp FitAja!, a front-end application. end Health services created in order to expand access to the Digital Healthcare SuperApp to all levels of Indonesian society.

2024

As of June 11, 2024, a share sale and purchase process has taken place based on the Deed of Share Sale and Purchase Agreement Number 30 dated June 11, 2024 which has resulted in changes to the composition of Mandiri Inhealth's share ownership to PT Bank Mandiri (Persero), Tbk owning 80%, Kimia Farma owning 10 % and PT Asuransi Jiwa IFG (IFG Life) owns 10% of the shares. On June 26 2024, the majority stake in PT Asuransi Jiwa Inhealth Indonesia (Mandiri Inhealth) was officially taken over by PT Asuransi Jiwa IFG (IFG Life) so that the share ownership composition became 80% PT Asuransi Jiwa IFG and 20% PT Bank Mandiri (Persero), Tbk . Thus, Mandiri Inhealth entered the IFG Holding structure and became a subsidiary of PT Asuransi Jiwa IFG. First appointed as President Commissioner of Mandiri Inhealth since September 26, 2023. Graduated with a Bachelor's degree in Information Technology from the Bandung Institute of Technology in 2004. Some of his previous positions were Senior Executive Vice President of Special Asset Management of PT Bank Mandiri (Persero) Tbk (2021-Present) and Senior Vice President of Corporate Banking 1 Group (2018-2021).

Appointed for the first time as Commissioner of Mandiri Inhealth since 5 August 2020, based on the Decision of the Circular General Meeting of Shareholders on August 5, 2020. Completed his Bachelor's Degree in Electrical Engineering from the Bandung Institute of Technology in 2011 and obtained his Master of Public Administration from Columbia University, New York in 2017. His previous positions were Expert Staff at the Presidential Staff Office of the Republic of Indonesia (2015-2016) and Special Staff of the Coordinating Ministry for Maritime Affairs and Investment (2017-present).

Appointed for the first time as Commissioner of Mandiri Inhealth on June 24 2024 based on the circular decision of the general meeting of shareholders for the 2023 financial year. Completed his Bachelor of Industrial Engineering education at the Bandung Institute of Technology in 1985. Obtained a Master of Arts degree in Computer Science from Boston University (1990). Then earned a Master of Arts and Phd. in Economic Policy from Northeastern University Boston (1995). Currently serving as Special Staff to the Minister of Health for Governance and Bureaucratic Reform since February 2023. Several previous positions include Special Staff to the Vice President of the Republic of Indonesia (2020–2022), Deputy for Human Development and Equal Development of the Secretariat of the Vice President of the Republic of Indonesia (2009–2019 ) and Executive Secretary of the National Team for the Acceleration of Poverty Reduction (TNP2K) Secretariat of the Vice President of the Republic of Indonesia (2010–2020), Deputy Minister for Development Performance Evaluation BAPPENAS (2008–2009), Commissioner of PT Pupuk Indonesia (2020–2022), and Independent Commissioner of PT Bank Syariah Mandiri (2013–2020).

Appointed as Finance Director based on the Resolution of the Annual General Meeting of Shareholders (AGM) for the Financial Year 2019 on 5 April 2019. He completed his Bachelor's degree in Accounting Economics at Andalas University and obtained a Postgraduate degree (S2) from the Faculty of Agribusiness Management, Bogor Agricultural University. Some of his previous positions were Internal Auditor of Bank Bukopin, Head of Treasury of Bank Mandiri Singapore (2007-2011); Vice President Treasury Group of PT Bank Mandiri (Persero), Tbk. (2011-2014); Executive Vice President Treasury & International Banking of Bank Syariah Mandiri (Persero) (2014-2018).

First appointed as Director of Operations of Mandiri Inhealth since 24 January 2023, based on the Resolution of the General Meeting of Shareholders on 16 January 2023. Completed his Bachelor's Degree in Dentistry from the University of Indonesia in 1990 and subsequently obtained a Master's Degree in Management from the University of Indonesia in 2003. Some of his previous positions were Head of the BPJS Kesehatan Organisational Planning & Evaluation Group (2016-2017) and Deputy Director for Inter-Agency Relations and BPJS Kesehatan Regulation (2017-2022).

Completed his Bachelor of Economics majoring in Accounting from Gadjah Mada University in 1993 and obtained a Master's degree in Financial Management from the University of Indonesia in 2000 and Sespibank Class of 74. Some of his previous positions were AVP Corporate Banking III Group (2009-2016) & VP Compliance & AML Group PT Bank Mandiri (Persero), Tbk (2016-2023).

His previous positions were Regional Transaction & Consumer Head Bank Mandiri (2018-2023) and Director of Sales AXA Mandiri (2014).
